Terms of Service

These terms govern your use of Zupay's payment platform and services. Please read them carefully before using our services.

Important: By creating an account or using Zupay's services, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use our services.

1. Definitions

In these Terms: "Zupay" means Zupay Technologies Ltd., including its subsidiaries and affiliates. "Services" means all payment processing, dashboard, API, and related services provided by Zupay. "Merchant" or "you" means the entity or individual that has registered for and uses the Services. "Platform" means the Zupay dashboard, APIs, SDKs, and associated tools. "Transaction" means any payment processed through the Services.

2. Account registration

To use the Services, you must create an account and provide accurate, complete information. You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of your business. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

Zupay reserves the right to refuse registration or suspend accounts that do not meet our eligibility criteria, including those operating in prohibited industries or jurisdictions listed in our Acceptable Use Policy.

3. Use of services

Zupay grants you a limited, non-exclusive, non-transferable licence to access and use the Services for your lawful business purposes, subject to these Terms. You agree to use the Services in compliance with all applicable laws and regulations, including payment network rules, anti-money laundering (AML) regulations, and data protection laws.

You are responsible for the accuracy of all transaction data submitted through the Services and for obtaining all necessary consents from your customers before processing their payment information.

4. Prohibited activities

You may not use the Services to process payments for:

  • Illegal goods or services in any applicable jurisdiction
  • Adult content, gambling, or firearms without appropriate licences and Zupay's prior written approval
  • Cryptocurrency exchanges or money transmission without applicable licences
  • Pyramid schemes, Ponzi schemes, or multi-level marketing involving unlawful practices
  • Counterfeit goods or intellectual property infringement
  • Any activity that violates card network rules (Visa, Mastercard, etc.)

Violation of this section may result in immediate account suspension and reporting to relevant authorities.

5. Fees and payment

Fees for the Services are set out on our Pricing page or in your individual merchant agreement. Fees are deducted from settlement proceeds or charged to the payment method on file. Zupay reserves the right to change fees with 30 days' notice. Continued use of the Services after the notice period constitutes acceptance of the new fees.

All fees are exclusive of VAT and other applicable taxes, which are your responsibility.

6. Settlement and payouts

Subject to these Terms, Zupay will settle transaction proceeds to your nominated bank account according to the settlement schedule in your merchant agreement (typically T+1 to T+3 business days). Zupay may withhold settlement where there is reasonable suspicion of fraud, excessive chargebacks, a legal hold, or a breach of these Terms.

Zupay may maintain a rolling reserve — a percentage of your settlement held temporarily — where assessed risk warrants it. Reserve amounts and durations will be communicated to you in writing.

7. Disputes and chargebacks

You are responsible for all chargebacks, reversals, and dispute fees arising from Transactions processed through your account. Zupay will notify you of chargebacks and provide a dispute window to submit evidence. We will represent disputes on your behalf where you provide sufficient evidence, but Zupay does not guarantee the outcome of any dispute.

Excessive chargeback rates (above 1% of monthly transaction volume) may result in suspension of settlement, imposition of a reserve, or account termination.

8. Termination

Either party may terminate this agreement with 30 days' written notice. Zupay may terminate immediately upon: material breach of these Terms, excessive fraud or chargeback activity, insolvency proceedings, or regulatory direction. Upon termination, Zupay will settle outstanding funds owed to you, net of any chargebacks, fees, and reserves, within 90 days subject to applicable holds.

9. Limitation of liability

To the maximum extent permitted by applicable law, Zupay's total cumulative liability to you for any claims arising under or related to these Terms shall not exceed the fees paid by you to Zupay in the three months immediately preceding the claim. Zupay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Intellectual property

Zupay and its licensors own all intellectual property rights in the Services, including the Platform, APIs, and documentation. These Terms do not transfer any ownership rights to you. You retain ownership of your data and grant Zupay a limited licence to use that data solely to provide the Services.

11. Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where you are a consumer in a jurisdiction with mandatory local consumer protections, in which case those protections apply.

For merchants operating in the European Union, the EU Platform-to-Business Regulation (P2B) applies where applicable.
